Terms and Conditions
Note: You are concluding a legally binding agreement.
Purpose and Site Use
Seek or Shout (“SOS”) is a community site for journalists, bloggers, marketers, public relations professionals and students (the “Site”). The purpose of our Site is to connect these various parties in a way that maximizes their communicative public relations and marketing goals. The premise is simple: users can publish messages seeking information from the community, and ““shout” about their latest content, campaigns and projects. To help in facilitating this process, you may create connections with other users of the site and develop your own relationship network.
We require that your use be both appropriate and professional, and your use of the Site will be governed by these Terms of Service (“Terms” or “these Terms”). SOS is owned and operated by Cision US, Inc., a Delaware corporation, principally located at 332 S. Michigan Avenue, Chicago, IL 60604 (“SOS” or “We”), and your registration as a user (as applicable, “User” or “You”) and/or use of the Site, including any mobile applications of the Site, and other information given as part of the SOS services (the “Services”) constitutes an acceptance of these Terms of Service as a legally binding agreement. These Terms may be amended from time to time with or without advance notice. If you are using the Site on behalf of a company or other legal entity, you are nevertheless individually bound by these Terms.
Registering an Account
Anyone can register for an account on SOS, but we ask that you represent and warrant that you are at least 18 years old, are not restricted in from using the Site, and will not abuse use of the SOS Services in any way. We reserve the right to prohibit use of the Site and/or Services if, in our discretion, misuse or abuse has been committed by you in your use.
In registering for an account, you must provide a username, your email address, and first/last name. Your email address is only listed at registration, and shall not be displayed to anyone unless you opt to have this information displayed. You will also be allowed to fill out their profile with information such as your company’s or organization’s name, title, URL, phone number, address, and email. Once a profile is filled out, all of the submitted information becomes available to any other SOS user who is logged onto the Site and visits your profile page. A publicly viewable page that can be indexed in search engines, such as Google, will display a subset of this information (which will include the User’s name, organization, title, and city/state) and may be viewed by non-SOS users. Additionally, the submitted profile information will be reviewed and used internally to assist in Cision’s media database product and services. Simply put, we do not intend to use email addresses given merely for registration, but information provided on profiles may be applied as part of a quality and user profile accuracy check on Cision’s media and key influencer research services.
Once you are assigned your unique SOS login credentials, you agree to keep this information confidential and allowing any other party from using these credentials. You agree to be responsible for any conduct committed under your unique credentials. If you suspect that the security of your login credentials have been compromised due to no fault of your own, please contact use immediately at sosadmin@cision.com.
Ownership and Rights to Your Content
You own the information you provide to the Site under these Terms of Service, and may request its deletion at any time, unless you have shared information or content with others and they have not deleted it, or it was copied or stored by other users. Additionally, you grant SOS a nonexclusive, irrevocable, worldwide, perpetual, unlimited, assignable, sublicenseable, fully paid up and royalty-free right to us to copy, prepare derivative works of, improve, distribute, publish, remove, retain, add, process, analyze, use and commercialize, in any way now known or in the future discovered, any information you provide, directly or indirectly to the Site, including, but not limited to, any user generated content, ideas, concepts, techniques or data to the services, you submit to the Site, without any further consent, notice and/or compensation to you or to any third parties. Any information you submit to the Site is at your own risk of loss as noted in these Terms.
You represent and warrant that you are entitled to submit the information and that the information is accurate, not confidential, and not in violation of any contractual restrictions or other third party rights. It is your responsibility to keep your SOS profile information accurate and updated.
Other User Rights
On the condition that you comply with these Terms, we grant you a limited, revocable, nonexclusive, nonassignable, nonsublicenseable license and right to access the Services, through a generally available web browser (but not through scraping, spidering, crawling or other technology or software used to access data), view information and use the Site and Services that we provide on our webpages and in accordance with these Terms. Any other use contrary to our purpose listed in these Terms or communicated on our Site (such as seeking to connect to someone you do not know or trust, or to use information gathered from the Site commercially) is strictly prohibited and will be considered a violation of these Terms. We reserve all rights not expressly granted in these Terms, including, without limitation, title, ownership, intellectual property rights, and all other rights and interest in SOS and all related items, including any and all copies made of our website.
Content from Users
All user-created content within SOS exists as one of the following: Seek, Shout, Comment, Direct Message, and Private Message.
• “Seek”: A “Seek” is a status update in which a User requests help from the Site’s community of users with a forthcoming piece of content (usually, information about products for review, expert interviews, and other research materials). The “Seek” message is displayed in the news feed of any SOS user who follows the User posting the “Seek,” as well as any other SOS user who follows any one of the topical tags attached to the “Seek.” These types of messages may be published anonymously, and in such cases, the “Seek” message is displayed only to those SOS users who subscribe to the one of the topical tags attached to the “Seek” (not the SOS users who follows the User posting the “Seek”).
• “Shout”: A “Shout” is a status update in which a user promotes a piece of content (usually, related to a product or marketing campaign). Like a “Seek,” the “Shout” message is displayed in the news feed of any SOS user who follows the User posting the “Shout,” as well as any other SOS user who follows any one of the topical tags attached to the “Shout.” Also, “Shouts” messages may be published anonymously, and in such cases, the “Shout” message is displayed only to those SOS users who subscribe to the one of the topical tags attached to the “Shout” (not the SOS users who follows the User posting the “Seek”).
• “Comment”: A “Comment” is a type of message that is posted in response to a “Seek” or “Shout.” It can be placed on any “Seek” or “Shout” message, and it is viewable by all other SOS users who are logged into SOS. Users who published the “Seek” or “Shout” message which has been commented on, may delete Comments posted on that message.
• “Direct Message”: A “Direct Message” is a status update on another SOS user’s profile wall. These types of messages are viewable by all other SOS users who are logged into SOS.
• “Private Message”: A “Private Message” is viewable to the recipient both in their profile news feed and provided email address. These types of messages are not viewable by other SOS users—it is only viewed by the sender and recipient. If a “Private Message” is sent to another SOS user who follows the sender, there are no charges. However, if a “Private Message” is sent to another SOS user who does not follow the sender, a charge of 90 cents will apply against the sender. Although we will never expose a Private Message, we reserve the right to use the Seeks and Shouts on other web properties and marketing collateral.
You can choose one of four frequency levels for receiving messages from SOS: —Never, Weekly, Daily and Immediately—on each of three content groups: 1) Seeks and Shouts 2) New followers and 3) Direct and Private Messages. If desired, you can completely opt out of SOS-generated emails by choosing “Never” for all three groups.
Also, you have the ability prevent receiving any messages from another SOS user. In other words, no Seeks, Shouts, Comments, Direct Messages, or Private Messages will be received by the blocked SOS user. If you are a blocked SOS user attempting to send a Private Message, the Site will not credit the charges on your account. All Seeks, Shouts, Direct Messages and Private Messages are accompanied by a “Report Spam” link. When any SOS user clicks this link, the item is logged for review by SOS.
You are solely responsible for your interactions with other SOS users. SOS reserves the right, but has no obligation, to monitor disputes between you and other SOS users. As mentioned elsewhere in these Terms, SOS reserves the right to close an account or remove posted content at its sole discretion, which may or may not be due to a violation of these Terms or another party’s intellectual property rights.
Please remember that information posted to the Site may be seen and used by other SOS users, and if the information is considered confidential by you, do not post it to the Site. SOS WILL NOT BE RESPONSIBLE FOR ANY USER’S MISUSE OR MISAPPROPRIATION OF ANY CONTENT OR INFORMATION YOU SHARE IN ANY COMMUNICATION MADE BY YOU THROUGH THE SITE.
Indemnification
You agree to indemnify, defend, and hold us harmless for all damages and costs related to all third party claims caused by your use of the Site which does not comply with these Terms or our Privacy Policy, including your submission of content which may violate any third party’s rights or applicable law, and any of your activity on the Site.
Availability of Service
SOS may modify, replace, or refuse access to, suspend, or discontinue the Site, and may modify prices for the provided Services at any time. We also reserve the right to remove any content posted on your account, if in our discretion, the content violates these Terms. SOS has not obligation to maintain any of the information provided to the Site.
Third Party Sites and Developers
SOS may include links to third party web sites (“Third Party Sites”). We are not responsible for and do not endorse any features, content, advertising, products or other materials on or available from Third Party Sites. If you decide to access Third Party Sites, you do so at your own risk and that these Terms will not apply to the use of any Third Party Site.
Privacy
You should carefully read our full Privacy Policy before deciding to become a User as it is hereby incorporated into these Terms by reference, and governs our treatment of any information, including personally identifiable information you submit to us. You acknowledge that your submission of any information and content to us is voluntary on your part.
Disclosure of User Information
You acknowledge, consent and agree that we may access, preserve, and disclose your registration and any other information you provide if required to do so by law or in a good faith belief that such access preservation or disclosure is reasonably necessary in our opinion to: (1) comply with legal process, including, but not limited to, civil and criminal subpoenas, court orders or other compulsory disclosures; (2) enforce these Terms; (3) respond to claims of a violation of the rights of third parties, whether or not the third party is a SOS user, individual, or government agency; (4) respond to customer service inquiries; or (5) protect our rights, property, personal safety, or the public. Disclosures of User information to third parties other than those required to provide customer support, administer this agreement, or comply with legal requirements are addressed in our privacy policy.

SOS AND ALL INFORMATION AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. WE CANNOT AND DO NOT WARRANT THE ACCURACY, COMPLETENESS, NONINFRINGEMENT, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE OF ANY INFORMATION MADE AVAILABLE THROUGH THE SERVICE OR THE SERVICE ITSELF. IF YOU ARE DISSATISFIED OR HARMED BY SOS OR ANYTHING RELATED TO THE SITE, YOU MAY CLOSE YOUR SITE ACCOUNT AND TERMINATE THIS AGREEMENT. TERMINATION WILL BE YOUR SOLE AND EXCLUSIVE REMEDY.
WE MAKE NO REPRESENTATIONS OR WARRANTIES FOR THE DELIVERY OF ANY POSTINGS OR MESSAGES TO ANYONE, AND WE DO NOT WARRANT THAT YOUR USE OF THE SITE AND/OR SERVICES WILL NOT INFRINGE THE RIGHTS OF THIRD PARTIES. WE MAKE NO REPRESENTATIONS AS TO THE IDENTIFICATIONS OF PERSONS USING THE SITE AND/OR SERVICES, AND WE ARE NOT OBLIGED TO MONITOR USER ACTIVITY. OPERATION OF THE SITE AND/OR SERVICES MAY EXPERIENCE INTERRUPTIONS DUE TO MAINTENANCE, UPDATES, OR OTHER FAILURES, AND WE DISCLAIM LIABILITY RESULTING FROM SUCH INTERRUPTIONS, MALFUNCTIONS, OR OTHER DISTURBANCES (E.G., INTERNET SERVICE PROVIDERS PROBLEMS).
Limitation of Liability
IN NO EVENT SHALL SOS BE LIABLE TO ANYONE FOR ANY DIRECT, INDIRECT, PUNITIVE, SPECIAL, EXEMPLARY, INCIDENTAL, CONSEQUENTIAL, OR OTHER DAMAGES OF ANY TYPE OR KIND (INCLUDING LOSS OF DATA AND LOST PROFITS) ARISING OUT OF, OR IN ANY WAY CONNECTED WITH THIS SITE, ITS PRODUCTS, SERVICES, AND/OR CONTENT, ANY INTERRUPTION, INACCURACY, ERROR OR OMISSION, REGARDLESS OF CAUSE, EVEN IF THE SITE HAS BEEN PREVIOUSLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS PROVISION SHALL APPLY REGARDLESS OF WHETHER THE CLAIM IS BASED IN CONTRACT, TORT, STATUTE, OR ANY OTHER LEGAL THEORY. THIS PROVISION SHALL NOT APPLY WHERE YOU INTENTIONALLY VIOLATE THESE TERMS OR APPLICABLE LAW.
Termination Rights
You may terminate the agreement established by these Terms, for any or no reason, at any time, by providing written notice to SOS (including emails). By closing your SOS account, you will no longer be able to access the Site. The termination will be effective upon the processing of your notice. We may terminate the agreement set forth by these Terms and your account for any reason or no reason, at any time, with or without notice. This cancellation shall be effective immediately or as may be specified in our notice.
Misuse of the Services
We may restrict, suspend or terminate the account of any User who abuses or misuses the Site and/or Services, which includes without limitation abusing the SOS messaging services, creating multiple profiles, using the Site and/or Services for commercial gain without authorization, infringing the intellectual property rights of another, and any other behavior or conduct that, in our sole discretion, goes against the purpose of these Terms.
Governing Law
These Terms or any arising out of these Terms shall be governed by the laws of the state of Illinois regardless of your country of origin or where you access the Site. You agree that all claims arising out of or related to the Site and Services must be resolved exclusively by a state or federal court located in Cook County, Illinois, except as otherwise agreed by the parties. You agree to submit to the personal jurisdiction of the courts located within Cook County, Illinois for the purpose of litigating all such claims.
Severability
If any provision of these Terms is found by a court of competent jurisdiction or arbitrator to be illegal, void, or unenforceable, the unenforceable provision will be modified so as to render it enforceable and effective to the maximum extent possible in order to effect the intention of the provision; and if a court or arbitrator finds the modified provision invalid, illegal, void or unenforceable, the validity, legality and enforceability of the remaining provisions of these Terms will not be affected in any way.
Assignment and Delegation
You may not assign or delegate any rights or obligations granted by these Terms. Such assignment and delegation shall be ineffective. SOS may assign or delegate all rights and obligations under these Terms.
Notices

No Injunctive Relief
In no event shall you seek or be entitled to rescission, injunctive or other equitable relief, or to enjoin or restrain the operation of the Site and/or Service, exploitation of any advertising or other materials issued in connection therewith, or exploitation of the Site, Services, or any content or other material used or displayed through the Site or Services.
Entire Agreement
You agree that these Terms constitute the entire, complete and exclusive agreement between you and us regarding the Site and Services and supersedes all prior agreements and understandings, whether written or oral, or whether established by custom, practice, policy or precedent, with respect to the subject matter of these Terms. You also may be subject to additional terms and conditions that may apply when you use or purchase certain other SOS services, third-party content or third party software.

WE MAKE NO REPRESENTATIONS AS TO THE IDENTIFICATIONS OF PERSONS USING THE SITE AND/OR SERVICES, AND WE ARE NOT OBLIGED TO MONITOR USER ACTIVITY. OPERATION OF THE SITE AND/OR SERVICES MAY EXPERIENCE INTERRUPTIONS DUE TO MAINTENANCE, UPDATES, OR OTHER FAILURES, AND WE DISCLAIM LIABILITY RESULTING FROM SUCH INTERRUPTIONS, MALFUNCTIONS, OR OTHER DISTURBANCES (E.G., INTERNET SERVICE PROVIDERS PROBLEMS).
Limitation of Liability
IN NO EVENT SHALL SOS BE LIABLE TO ANYONE FOR ANY DIRECT, INDIRECT, PUNITIVE, SPECIAL, EXEMPLARY, INCIDENTAL, CONSEQUENTIAL, OR OTHER DAMAGES OF ANY TYPE OR KIND (INCLUDING LOSS OF DATA AND LOST PROFITS) ARISING OUT OF, OR IN ANY WAY CONNECTED WITH THIS SITE, ITS PRODUCTS, SERVICES, AND/OR CONTENT, ANY INTERRUPTION, INACCURACY, ERROR OR OMISSION, REGARDLESS OF CAUSE, EVEN IF THE SITE HAS BEEN PREVIOUSLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS PROVISION SHALL APPLY REGARDLESS OF WHETHER THE CLAIM IS BASED IN CONTRACT, TORT, STATUTE, OR ANY OTHER LEGAL THEORY. THIS PROVISION SHALL NOT APPLY WHERE YOU INTENTIONALLY VIOLATE THESE TERMS OR APPLICABLE LAW.
Termination Rights
You may terminate the agreement established by these Terms, for any or no reason, at any time, by providing written notice to SOS (including emails). By closing your SOS account, you will no longer be able to access the Site. The termination will be effective upon the processing of your notice. We may terminate the agreement set forth by these Terms and your account for any reason or no reason, at any time, with or without notice. This cancellation shall be effective immediately or as may be specified in our notice.
Misuse of the Services
We may restrict, suspend or terminate the account of any User who abuses or misuses the Site and/or Services, which includes without limitation abusing the SOS messaging services, creating multiple profiles, using the Site and/or Services for commercial gain without authorization, infringing the intellectual property rights of another, and any other behavior or conduct that, in our sole discretion, goes against the purpose of these Terms.
Governing Law
These Terms or any arising out of these Terms shall be governed by the laws of the state of Illinois regardless of your country of origin or where you access the Site. You agree that all claims arising out of or related to the Site and Services must be resolved exclusively by a state or federal court located in Cook County, Illinois, except as otherwise agreed by the parties. You agree to submit to the personal jurisdiction of the courts located within Cook County, Illinois for the purpose of litigating all such claims.
Severability
If any provision of these Terms is found by a court of competent jurisdiction or arbitrator to be illegal, void, or unenforceable, the unenforceable provision will be modified so as to render it enforceable and effective to the maximum extent possible in order to effect the intention of the provision; and if a court or arbitrator finds the modified provision invalid, illegal, void or unenforceable, the validity, legality and enforceability of the remaining provisions of these Terms will not be affected in any way.
Assignment and Delegation
You may not assign or delegate any rights or obligations granted by these Terms. Such assignment and delegation shall be ineffective. SOS may assign or delegate all rights and obligations under these Terms.

No Injunctive Relief
In no event shall you seek or be entitled to rescission, injunctive or other equitable relief, or to enjoin or restrain the operation of the Site and/or Service, exploitation of any advertising or other materials issued in connection therewith, or exploitation of the Site, Services, or any content or other material used or displayed through the Site or Services.
Entire Agreement
You agree that these Terms constitute the entire, complete and exclusive agreement between you and us regarding the Site and Services and supersedes all prior agreements and understandings, whether written or oral, or whether established by custom, practice, policy or precedent, with respect to the subject matter of these Terms. You also may be subject to additional terms and conditions that may apply when you use or purchase certain other SOS services, third-party content or third party software.
